Terms of Service

PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE ACCESSING OR USING THE DRAFTUNICODE PLATFORM. BY REGISTERING FOR AN ACCOUNT, CLICKING “I AGREE,” OR BY USING ANY PART OF OUR SERVICE, YOU ENTER INTO A LEGALLY BINDING AGREEMENT WITH DRAFTUNICODE AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.

1. DEFINITIONS

“DraftUnicode” or “Company”: means the operator of the DraftUnicode platform, a proprietary entity registered in India.

“Service”: means the web-based SaaS platform operated by DraftUnicode, including the website, API, and any associated tools or applications.

“Subscriber” or “User” or “You”: means any natural person or legal entity that has registered for an account and accepted these Terms.

“User Content”: means any document, file, text, or other material that you upload to the Service for processing.

“Subscription Plan”: means the monthly or annual plan selected by you during registration, governing your access rights and the number of credits available.

“Credits”: means the usage units allocated to your account under your Subscription Plan, each credit entitling you to one document conversion.

2. ELIGIBILITY

You must be at least eighteen (18) years of age to create an account or use the Service. If you are using the Service on behalf of a corporation, limited liability partnership, firm, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and that your acceptance of these Terms constitutes the entity’s acceptance. Individuals who have previously had their accounts suspended or terminated for breach of these Terms are not eligible to re-register.

3. ACCOUNT REGISTRATION AND SECURITY

To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and for updating it promptly if it changes. You are solely responsible for maintaining the confidentiality of your login credentials, including your password. You must not share your credentials with any third party. Any activity conducted through your account is deemed to be your activity, and you will be responsible for all such activity. You agree to notify DraftUnicode immediately at [email protected] upon becoming aware of any unauthorized access to or use of your account. DraftUnicode will not be liable for any loss arising from unauthorized use of your account due to your failure to safeguard your credentials.

4. LICENCE TO USE THE SERVICE

Subject to your compliance with these Terms and the timely payment of applicable fees, DraftUnicode grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal legal document conversion purposes in accordance with these Terms. You may not resell, redistribute, sublicense, or otherwise make the Service available to any third party. You may not use the Service to build a competing product or service. Any use of the Service beyond the scope of the licence granted herein is a material breach of these Terms.

5. SUBSCRIPTION PLANS, FEES, AND BILLING

5.1 Subscription Plans

DraftUnicode offers subscription plans on a monthly, six monthly and annual bases or as per business plan of the company. The features, credit allocations, and pricing applicable to each plan are described on our website at the time of your subscription. We reserve the right to modify, add, or discontinue any plan with reasonable notice to existing subscribers.

5.2 Fees and Taxes

All fees are denominated in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST) and any other applicable taxes, levies, or duties, which shall be payable by you in addition to the stated fee. A GST-compliant tax invoice will be issued for each billing cycle.

5.3 Payment Processing

Payments are processed through Razorpay’s secure payment gateway. By providing your payment details, you authorize DraftUnicode to charge the applicable fees to your designated payment method on the billing date of each subscription cycle. If your payment fails, we will attempt to notify you and may suspend access to the Service until payment is received.

5.4 Price Changes

DraftUnicode reserves the right to revise subscription fees. We will provide at least fifteen (15) days’ written notice of any fee increase to your registered email address. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the revised pricing. If you do not accept the revised pricing, you may cancel your subscription before the new pricing takes effect.

6. CREDITS AND USAGE

Each conversion of a document (whether a new file or a re-upload of a previously converted file) consumes the prescribed number of Credits from your account. Re-conversion of the same file is treated as a new request and will deduct Credits accordingly. Unused Credits expire at the end of your current subscription term and cannot be carried forward, except where you renew your subscription before the term expiry date, in which case any remaining Credits at the point of renewal will automatically carry forward into the new term. DraftUnicode is not obligated to refund or compensate for unused Credits.

7. REFUNDS AND CANCELLATION

7.1 Cancellation

You may cancel your subscription at any time through the account settings portal or by contacting support at [email protected]. Cancellation will take effect at the end of your current billing cycle, and you will retain access to the Service until that date. Following cancellation, your account and any remaining Credits will be deactivated upon expiry of the current billing cycle.

7.2 No-Refund Policy

All fees paid to DraftUnicode are final and non-refundable, except as expressly required by applicable law. We do not provide prorated refunds or credits for any partially used subscription period, unused Credits, or downgraded plan. In exceptional circumstances, DraftUnicode may, at its sole and absolute discretion, issue a goodwill credit or partial refund. The exercise of such discretion on any occasion does not create an obligation to do so in any future circumstance.

7.3 Promotional Codes

Promotional or discount codes are for single use only, are personal to the recipient, cannot be combined with other offers, and have no cash value. Promotional codes may be subject to additional terms stated at the time of issuance.

8. USER CONTENT AND CONDUCT

8.1 Your Responsibility for User Content

You are solely and exclusively responsible for all User Content that you upload, submit, or otherwise transmit through the Service. You represent and warrant that: (a) you are the owner of the User Content or have all necessary rights, licenses, and permissions to upload and process it through the Service; (b) the User Content does not infringe any intellectual property right, privacy right, or any other right of any third party; (c) the User Content is not defamatory, obscene, pornographic, abusive, fraudulent, or otherwise unlawful; and (d) the User Content complies with all applicable laws and regulations.

8.2 Our Rights Regarding User Content

DraftUnicode does not claim any ownership over your User Content. We process your User Content exclusively to perform the conversion service you have requested. We do not access, review, monetise, or retain your User Content beyond what is described in our Privacy Policy. Converted output documents remain your property. DraftUnicode assumes no responsibility for the legal accuracy, completeness, or fitness for purpose of any converted document.

8.3 Prohibited Uses

You agree that you will not, directly or indirectly:

Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.Upload or transmit any User Content that is unlawful, infringing, fraudulent, defamatory, obscene, or pornographic.Upload documents containing malicious code, viruses, Trojan horses, or any software intended to damage or interfere with any system.Attempt to gain unauthorized access to any part of the Service, our servers, or any data not belonging to you.Use automated tools, bots, scrapers, or crawlers to access, extract, or index any part of the Service without our prior written consent.Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.Circumvent or attempt to circumvent any security, access control, or authentication feature of the Service.Use the Service to compete with DraftUnicode, including by building a substantially similar product or aggregating our conversion output for redistribution.Impersonate any person or entity or falsely claim an affiliation with any person or entity.

DraftUnicode reserves the right to investigate and take appropriate action against any violation of this section, including suspension or termination of your account without notice and referral to law enforcement authorities where appropriate.

9. SERVICE AVAILABILITY AND SUPPORT

9.1 Availability

DraftUnicode will use commercially reasonable efforts to make the Service available on a continuous basis. However, we do not warrant or guarantee uninterrupted, error-free, or perfectly secure service. The Service may be temporarily unavailable due to scheduled maintenance (of which we will provide advance notice by email or in-app notification where practicable) or due to circumstances beyond our reasonable control.

9.2 Customer Support

Technical support is available during business hours (Monday to Friday, 10:00 a.m. to 6:00 p.m. IST). Support requests may be submitted to [email protected]. We will endevour to acknowledge all support requests within one (1) business day and to resolve them within three (3) to seven (7) business days, depending on the nature and complexity of the issue. We do not guarantee specific resolution timescales for complex technical matters.

10. INTELLECTUAL PROPERTY

All intellectual property rights in and to the Service, including but not limited to the software, algorithms, user interface, design, documentation, trademarks, and brand identifiers, are and shall remain the exclusive property of DraftUnicode. Nothing in these Terms transfers any intellectual property rights to you. You may not use our trademarks, logos, or brand identifiers without our prior written consent. The license granted to you under Section 4 does not include any right to sublicense, assign, or otherwise deal with DraftUnicode’s intellectual property.

11. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DRAFTUNICODE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. DRAFTUNICODE DOES NOT WARRANT THAT THE CONVERSIONS PERFORMED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR FIT FOR OFFICIAL OR JUDICIAL FILING. YOU ACKNOWLEDGE THAT ALL CONVERTED DOCUMENTS SHOULD BE INDEPENDENTLY REVIEWED AND VERIFIED BY A QUALIFIED LEGAL PROFESSIONAL BEFORE BEING USED FOR ANY OFFICIAL PURPOSE.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DRAFTUNICODE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF DRAFTUNICODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DRAFTUNICODE’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DRAFTUNICODE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DraftUnicode and its directors, officers, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your User Content, including any allegation that it infringes the rights of a third party; (c) your breach of any representation, warranty, or obligation under these Terms; or (d) your violation of any applicable law or regulation.

14. TERM AND TERMINATION

14.1 Term

These Terms take effect from the date you register for an account and continue until your subscription is cancelled or terminated.

14.2 Termination by You

You may terminate your subscription at any time in accordance with Section 7.1. Termination does not entitle you to a refund.

14.3 Termination by DraftUnicode

We may suspend or permanently terminate your access to the Service, with or without prior notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law or a regulatory authority; (c) we reasonably determine that your use of the Service poses a risk to other users, third parties, or the integrity of the platform; or (d) you engage in fraudulent or illegal activity through the Service. Upon termination, your licence to use the Service immediately ceases and you must stop using the Service. Remaining Credits are forfeited without refund upon termination for breach.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in relation to these Terms, including their validity, breach, or termination, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved by negotiation, it shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction located in Ahmedabad, Gujarat, India.

16. AMENDMENTS TO THESE TERMS

DraftUnicode may amend these Terms at any time. We will provide you with at least fifteen (15) days’ advance notice of material changes by email to your registered address and by posting the updated Terms on our website with a revised effective date. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the amended Terms. If you do not agree to the amendments, you must cease using the Service before the amendments take effect and may request deletion of your account.

17. MISCELLANEOUS

17.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and DraftUnicode with respect to the Service and supersede all prior or contemporaneous understandings, representations, or agreements.

17.2 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver: Failure by DraftUnicode to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. DraftUnicode may freely assign its rights and obligations to a successor entity.

17.5 Force Majeure: DraftUnicode shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, government actions, pandemics, power failures, or internet outages.
